Skill Suburb – S Masters Pty Ltd (ACN 664 306 370)
1. General Agreement
- These Terms and Conditions (“Terms”) form a legally binding agreement between you and S Masters Pty Ltd (ACN 664 306 370), trading as Skill Suburb (“we”, “us”, “our”).
- By accessing or using skillsuburb.com.au (the “Website”), you agree to be bound by these Terms.
- We may update these Terms from time to time. Updated Terms will take effect immediately upon publication.
- If a change is materially detrimental to Users, we will provide at least 30 days’ notice on the Website before the change takes effect.
- Your continued use of the Website after updated Terms are published constitutes acceptance of those changes.
2. User Accounts and Security
- Eligibility: To create an account, you must be legally capable of entering into a binding contract in your country of residence.
- Accuracy: You must ensure all registration and account information is accurate, current, and complete.
- Confidentiality: You are responsible for maintaining the confidentiality of your login credentials, including passwords and social logins.
- Account Use: You are responsible for all activity that occurs through your account and must notify us immediately of any unauthorised use or security breach.
- Indemnity: To the extent permitted by law, you agree to indemnify Skill Suburb for losses arising from your breach of these Terms or failure to maintain account security, to the extent caused by your actions or omissions.
3. Instructor Registration and Verification
- Account Creation: Instructors register using an email address and password or via social login, identical to the learner registration process.
- Verification Process: All Instructors must be verified by our admin team before listing classes. This typically takes 1–3 business days.
- Admin Rights: Skill Suburb reserves the right to verify ABN details, contact the business via phone or email, or browse business websites to confirm legitimacy.
- Approval Discretion: Approval or rejection of a registration is at our sole and absolute discretion; we are not required to provide justification for our decision.
- Geographic Restrictions: Australian businesses can list both in-person and online classes. Overseas businesses are strictly restricted to posting online-only classes.
- Authorization: By submitting a registration, you confirm that you are authorized to represent the business and post listings on its behalf.
4. Messaging and Communication
- Skill Suburb provides an internal messaging system to facilitate communication between Instructors and Learners.
- Messages are not routinely reviewed; however, we reserve the right to access or monitor communications where complaints arise, disputes occur, or compliance with these Terms is required.
- Any access to messages will be handled in accordance with our Privacy Policy.
5. Code of Conduct and Moderation
To maintain a safe and professional environment, we may suspend listings or accounts for breaches of this Code of Conduct.
Users must not post or transmit content that:
- Is unlawful, discriminatory, defamatory, harassing, abusive, threatening, obscene, or otherwise harmful.
- Contains sexually explicit, pornographic, or indecent material.
- Is false, misleading, inaccurate, or incomplete.
- Is primarily intended to promote political parties, campaigns, or political advocacy.
- Constitutes spam, including unsolicited promotional messages or communications.
- Violates any applicable laws or regulations.
We reserve the right to moderate, remove, or disable content or accounts at our discretion.
6. Fees, Subscriptions, and ACL Compliance
- Consumer Guarantees: Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). Nothing in these Terms limits your rights under the ACL.
- Account Breaches: If an account is suspended or terminated due to a breach of these Terms, any associated subscription may be discontinued. Refund limitations apply only to the extent permitted by the ACL.
- Pricing Changes: Subscription prices may change from time to time. Any changes will be communicated before taking effect.
7. Intellectual Property and Marketing
- All intellectual property rights in the Website and its content are owned by or licensed to S Masters Pty Ltd.
- User Content: By submitting content, you grant Skill Suburb a worldwide, royalty-free, non-exclusive licence to use, reproduce, publish, and display that content for platform operation and promotion.
- Marketing Licence: Approved Instructors grant Skill Suburb permission to use their business name and logo for marketing purposes, including on social media, unless the Instructor notifies us in writing that they wish to opt out.
8. Safety, Disclaimers, and Liability
- Directory Only: Skill Suburb operates as a directory platform. We do not provide classes and are not responsible for the quality, legality, safety, or accuracy of listings.
- User Responsibility: Users assume all risks associated with interacting with others through the platform, including in-person interactions.
- Instructor Guidance: Instructors are encouraged to verify learner identities, use appropriate venues, and hold required certifications (such as Working With Children Checks where applicable).
- Security: While we take reasonable steps to protect information, data transmission over the internet is not completely secure.
- Limitation of Liability: To the extent permitted by law, our total liability for all claims arising from your use of the Website is limited to AUD 100, except where liability cannot be limited under the ACL.
- Governing Law: These Terms are governed by the laws of New South Wales, Australia.
9. General Provisions
- Force Majeure: We are not liable for failure or delay caused by events beyond our reasonable control.
- Severability: If any provision is unenforceable, the remaining provisions remain in effect.
- No Agency: Nothing in these Terms creates a partnership, employment, or agency relationship.
